Contract review from 5 days to 1, zero missed key terms

Shopping mall operator: lease and franchise agreement review Agents that keep pace with rapid expansion

Challenge

With a dozen or more new projects opening a year, the volume of leases, franchise agreements and property service agreements outgrew a legal team of 8. Contract templates varied by project, and key commercial terms such as rent-free periods, escalation rates and exclusivity clauses were often not written back after negotiation.

The company required that review never slow down an opening, and that contract risk management be standardized.

Approach

Using the group's standard contract library and risk clause checklist as the baseline, we launched a contract review and clause comparison Agent.

  • The review Agent compares each contract clause by clause against the standard version, marks deviations with a risk level and suggests edits
  • Key commercial terms are extracted into structured fields and checked against negotiation records in the leasing system
  • In the approval flow, legal sees only high-risk clauses; low-risk contracts pass automatically with an audit trail
  • Expiry, rent escalation and renewal dates trigger automatic reminders to the operations team

Architecture highlights

Full contract text is processed in an on-premises environment, and the model has no internet access. Extracted clauses are written to the contract management system and linked with the leasing and finance systems to drive performance reminders.

Customer feedback

Legal is no longer the bottleneck on expansion, and our review standard is stricter than it used to be.
